GAIL Gas IPO: GAIL Board Clears Listing of City Gas Arm, Up to 25% Dilution

The GAIL Gas IPO has moved a step closer. GAIL (India)'s board on 30 October gave in-principle approval to list its wholly owned city gas arm, GAIL Gas Ltd, through an IPO. GAIL will dilute up to 25% of its holding.

What did the GAIL board approve?

The board approved the listing of GAIL Gas on Indian stock exchanges. This is an in-principle approval only. The final terms are still to come.

GAIL Gas will first send a final proposal based on the advice of its book-running lead managers. That proposal will cover valuation, price band, structure and other terms. The GAIL board will then approve the final extent of dilution, as per the company's exchange filing.

What does GAIL Gas do?

GAIL Gas is a city gas distribution company. It supplies piped cooking gas and CNG for vehicles in cities.

The Petroleum and Natural Gas Regulatory Board has authorised it to run such projects in 16 geographical areas. These are in states like Haryana, Madhya Pradesh, Karnataka, Uttar Pradesh, Uttarakhand, Odisha, Jharkhand and Chhattisgarh, as per an Upstox report.

Separately, GAIL's board approved moving six city gas areas to GAIL Gas. These are Varanasi, Patna, Ranchi, East Singhbhum, Cuttack and Khordha. The transfer is a slump sale, with 1 January 2027 as the effective date, as per the Economic Times.

What our data shows

No size has been reported yet, so there is no figure to compare. Draft papers are piling up in the market. 72 companies have filed with SEBI so far this month, as per our tracker.

What happens next?

The next step is the DRHP, the draft papers a company files with SEBI before an IPO. SEBI then reviews it. That usually takes one to three months.

Until then, there is no price band, lot size or opening date. GAIL Gas also has no financials in the public domain from this announcement.

GAIL announced the approval along with its September quarter results. Those results are for the parent company, not for GAIL Gas. We will update when the DRHP is filed. You can track every listed and coming issue on our upcoming mainboard IPO page. For how recent big names have listed, see the IPO performance page.

The first report came from the Economic Times.
