IFL Finance has received SEBI's go-ahead for its IPO. The Delhi gold loan lender plans to sell 3.85 crore shares. SEBI issued its observations on the draft papers on 5 November 2026, as per a Moneycontrol report.
What is the IFL Finance IPO made of?
The IPO has a fresh issue and an offer for sale (OFS). In an OFS, existing shareholders sell their shares and the company gets no money from that part.
| Item | Detail |
|---|---|
| Total shares | 3.85 crore |
| Fresh issue | 3.55 crore shares |
| OFS by promoters | 30 lakh shares |
| Possible pre-IPO placement | Up to 1.15 crore shares |
| Merchant banker | Aryaman Financial Services |
| DRHP filed | July 2026 |
| SEBI observations | 5 November 2026 |
Most of the issue is fresh shares, so most of the money goes to the company. The price band and the issue size in rupees have not been announced.
What is the pre-IPO placement?
The company may raise money from a few investors before the IPO. This is called a pre-IPO placement. It can be up to 1.15 crore shares.
If it happens, that amount is cut from the fresh issue. The total IPO would then be smaller than 3.85 crore shares.
What does IFL Finance do?
IFL Finance is a non-deposit-taking NBFC. The RBI classes it as a Base Layer NBFC. It gives secured retail loans, mainly gold loans.
As of March 2026, it ran 88 branches across four states and one Union Territory. Of these, 31 were in Delhi and 33 in Rajasthan. So its business is concentrated in two places.
What will the money be used for?
The company plans to use ₹150 crore from the net fresh issue to strengthen its Tier-I capital. Tier-I capital is the core capital a lender keeps as a cushion. A bigger base lets it lend more, including gold loans.
What happens next?
The company now has one year from SEBI's letter to file its red herring prospectus (RHP). The RHP is the final offer document that carries the price band and dates. The IPO can open only after that.
