MSEDCL IPO Planned by February 2027, Aims to Raise Over ₹10,000 Crore

The MSEDCL IPO could open by February 2027 and aim to raise more than ₹10,000 crore. Chairman and managing director Lokesh Chandra told Mint that the draft prospectus (DRHP) will be filed by the first week of December.

MSEDCL is Maharashtra's state-run power distribution company. It has not yet filed any papers with SEBI, so none of this is confirmed in an offer document.

What the MSEDCL chief said

"We expect to file for the IPO by December first week and launch the offer by February," Chandra told Mint, as per a Livemint report on 5 November 2026.

A DRHP is the draft offer document that goes to SEBI before any IPO. Its review often takes one to three months, so a February launch leaves little room for delay.

The timeline has moved

In February 2026, Chandra had told Business Standard that the company was aiming for a December 2026 listing. The new target is about two months later.

At that time, the government planned to sell up to 10% of the company through the IPO. The money was meant for upgrading power lines and installing smart meters. The latest report does not say how the issue will be split or how much the government will sell.

Why the restructuring came first

MSEDCL has carried heavy dues, mostly from farm power supply. So the state first cleaned up the company before the listing.

StepWhat happened

Debt takeoverState government takes over ₹32,679 crore of debt
DemergerAgricultural power business separated from the core business
AdvisersSBI Capital Markets, IIFL Capital, ICICI Securities, Motilal Oswal, IDBI Capital and HDFC Bank, as per a July Bloomberg report

What the numbers look like

MSEDCL serves about 34 million consumers. It earned a net profit of ₹930.62 crore in FY26, against ₹940.84 crore a year earlier.

Revenue from operations rose about 6.5% to around ₹1.29 trillion. Those figures include the agricultural business.

The balance sheet still shows accumulated losses of ₹35,551.92 crore. Net worth was positive at ₹14,915.06 crore on 31 March 2026, as per the FY26 annual report cited by Mint.

The power ministry also rates discoms every year. MSEDCL scored 56.8 out of 100 in the FY25 report, up from 43.5 the year before.

Why discoms are heading to the stock market

The Centre has been pushing state-run distribution companies towards listing or stake sales. A ministers' panel had given three options: sell majority ownership, sell a minority stake, or list the utility within three years.

Uttar Pradesh is also moving to privatise two of its regional discoms by selling a 51% stake.

What happens next

The next step is the DRHP filing, which Chandra expects in the first week of December. SEBI will then review it, and the final size and price will be known only when the IPO opens.

We will report the filing when it appears. You can track other companies in the pipeline on our upcoming mainboard IPO page. For a similar big public-sector name, see our earlier story on the Mahanadi Coalfields IPO.
