The Ratnadeep Retail IPO has been cleared by SEBI. The company is a Hyderabad-based supermarket chain. The regulator issued its observations on 27 October 2026. The issue has a fresh issue of up to ₹400 crore and an offer for sale (OFS) by promoters.
SEBI's observations are the approval a company needs before it can launch an IPO. Ratnadeep Retail had filed its DRHP, the draft papers, on 1 July 2026. SEBI listed the status in its weekly processing report.
What is the issue size?
| Item | Detail |
|---|---|
| Fresh issue | Up to ₹400 crore |
| Offer for sale | Up to 1.49 crore shares, by promoters |
| Pre-IPO placement | Up to ₹80 crore, if the company does it |
| Lead managers | Motilal Oswal, Axis Capital, DAM Capital |
The money from the OFS goes to the selling promoters, not to the company. A pre-IPO placement, if done, is adjusted against the fresh issue. That would make the fresh issue smaller.
What will the money be used for?
The DRHP says ₹260 crore of the fresh issue will open new stores. These stores will be under the Ratnadeep and National Mart formats. Another ₹40 crore will repay borrowings. The rest is for general corporate purposes.
What does the company do?
Ratnadeep Retail sells food, grocery and value fashion. It has stores in Andhra Pradesh, Telangana and Karnataka. It had 190 stores on 31 March 2026.
For FY26, it reported revenue from operations of ₹2,223 crore. Profit after tax was ₹36.7 crore. The DRHP names Avenue Supermarts, Vishal Mega Mart, Spencer's Retail and Trent as listed peers.
What happens next?
The SEBI approval is valid for one year. In that time the company must file its red herring prospectus, the final offer document, and fix dates and a price band. No date has been announced. Ratnadeep Retail has no IPO page on IPO Guru yet, so we will add one once it files the final document. Until then, the numbers above come from the draft papers and may change.
Four companies got SEBI observations this week, including Punjab Carbonic. You can follow the full queue on our upcoming mainboard IPO page.
