South Eastern Coalfields IPO: Coal India Unit Files DRHP, Entirely an OFS

South Eastern Coalfields, a unit of Coal India, has filed its draft prospectus with SEBI for an IPO. The South Eastern Coalfields IPO is entirely an offer for sale (OFS), so the company gets no money. Coal India plans to sell up to 66.81 crore shares, as per a Moneycontrol report carrying Bloomberg's story of 2 November 2026.

What does the DRHP say?

The DRHP is the draft paper a company files with SEBI before an IPO. This one has no fresh issue. Every share on offer belongs to the parent, Coal India. The money from the sale goes to Coal India, not to South Eastern Coalfields.

DetailWhat is reported
StructureEntirely an OFS by Coal India
Shares on offerUp to 66.81 crore
Fresh issueNone
Lead managersSBI Capital Markets, ICICI Securities, IDBI Capital Markets & Securities, Motilal Oswal Investment Advisors
Reported sizeUp to $800 million, as per people familiar with the matter

The size is not in the draft prospectus. It comes from people familiar with the matter, so treat it as a report. The final size depends on the price band, which is not known yet.

How big is the company?

South Eastern Coalfields is among the largest subsidiaries of Coal India. It runs 60 coal mines in central India. Of these, 35 are in Chhattisgarh and 25 are in Madhya Pradesh, as per its website.

For the year ended 31 March 2026, the prospectus shows revenue of about ₹33,000 crore. Net income was ₹4,755 crore.

Why is Coal India listing its units?

The IPO is part of Coal India's plan to take some of its subsidiaries public. Another unit, Mahanadi Coalfields, filed its draft papers with SEBI in September. We have no IPO page for either company yet, so you can follow all filed names on our upcoming mainboard IPOs page.

What happens next?

SEBI will now review the draft and may ask for changes. This usually takes one to three months. After SEBI gives its observations, the approval is valid for 12 months. The company then files the final offer document with the price band and dates.

No date or price band has been announced. We will add the company to IPO Guru when they are. You can see the other filings in our IPO news section. The details above are from the Moneycontrol report.
