About

About Amrut Dredging And Shipping

Amrut Dredging and Shipping Limited is a marine and dredging contractor. It works mainly for India's major ports, non-major ports and shipyards. Its services include dredging, chartering of vessels, marine infrastructure work, bunkering and allied services. The company says it is ISO 9001:2015 certified. The company was incorporated on March 27, 1995 as Amrut Securities Limited. It later changed its name to Amrut Dredging and Shipping Limited and became a public limited company in 2014. The registered office is in Rajkot, Gujarat, and the corporate office is in Mumbai. The numbers below come from the restated consolidated financial statements in its Draft Red Herring Prospectus (DRHP) dated November 21, 2024. Revenue from operations was ₹3,876.96 lakhs in FY24, up from ₹2,344.18 lakhs in FY23 and ₹2,037.71 lakhs in FY22. Profit after tax was ₹499.60 lakhs in FY24, against ₹36.15 lakhs in FY23. Net worth rose to ₹11,003.49 lakhs at March 31, 2024. Total borrowings stood at ₹1,418.21 lakhs. The promoter and promoter group held 72.88% of the pre-issue share capital at the time of the DRHP. Pavan Anilbhai Gandhi, the Managing Director, alone held 64.32%. The company has filed its DRHP for a fresh issue of up to 49,10,000 equity shares. The money is meant for buying a cargo vessel and a trailing suction hopper dredger, and for working capital. The DRHP does not state an issue price or listing date, so we make no guess on either. Unlisted shares of a company like this are dealt off-market between buyers and sellers through dealers. Prices are indicative, not exchange prices, and there is no guarantee that an IPO will happen or when.

Strengths

  • Revenue from operations grew from ₹2,037.71 lakhs in FY22 to ₹3,876.96 lakhs in FY24, according to the restated financials in the DRHP.
  • Profit after tax rose to ₹499.60 lakhs in FY24 from ₹36.15 lakhs in FY23.
  • Net worth increased to ₹11,003.49 lakhs at March 31, 2024 from ₹3,900.97 lakhs a year earlier, which is a much stronger equity base.
  • Total borrowings fell to ₹1,418.21 lakhs at March 31, 2024 from ₹2,179.00 lakhs a year before, even as the company bought assets.
  • The order book was ₹3,201.00 lakhs as at August 31, 2024, which gives some visibility on near-term work.
  • The promoter group holds 72.88% of the company before the issue, so ownership is closely held and the promoter is also the Managing Director.

Risks

  • The top five customers contributed 79.90% of revenue in FY24 and 74.15% in FY23. Losing one of them would hurt revenue.
  • Operating cash flow was only ₹5.67 lakhs in FY24 against profit of ₹499.60 lakhs, and was negative ₹533.50 lakhs in FY23.
  • Trade receivables of ₹1,688.30 lakhs were more than six months old at March 31, 2024, which ties up cash and carries recovery risk.
  • The company has taken short-term loans from the promoter family in each of the last three years. These related party dealings may not continue on the same terms.
  • Capital spending was ₹5,645.03 lakhs in FY24. The planned purchase of a cargo vessel and a hopper dredger needs more money, and orders for them have not yet been placed.
  • The order book of ₹3,201.00 lakhs may not convert into revenue on time, as projects can be delayed, cancelled or changed.
  • The DRHP lists tax proceedings against the company involving ₹274.34 lakhs, and other proceedings that could add to costs.
  • Other income was ₹102.34 lakhs in FY24 and ₹170.13 lakhs in FY23, a notable share of profit before tax in those years.
  • Unlisted shares trade off-market at indicative prices, so liquidity is thin and an IPO is not certain.
