About

About Berar Finance

Berar Finance Limited is a Nagpur-based non-banking finance company (NBFC), incorporated in 1990. The RBI classifies it as a Systemically Important Asset Finance Company. Its mainstay product is the two-wheeler loan. It also offers personal loans, two-wheeler refinancing loans and secured MSME loans, including loan against property. Most of its business is in rural and semi-urban India. At the end of March 2026 the company had a head office in Nagpur and 165 branches. Maharashtra had 42 of them, Chhattisgarh 27, Madhya Pradesh 24, Odisha 23, Telangana 18, Gujarat 10, Andhra Pradesh 9, Karnataka 7 and Jharkhand 5. It served around 3.61 lakh customers. The numbers below are from the standalone financial statements in the FY26 annual report. In FY26 the company disbursed ₹1,47,347.83 lakh of loans, against ₹1,17,511.60 lakh a year earlier. Gross assets under management were ₹1,79,202.42 lakh. Revenue from operations was ₹35,770.96 lakh (₹29,459.76 lakh in FY25). Profit after tax was ₹3,622.52 lakh, up from ₹3,229.70 lakh. The company raised equity and Series B preference capital through private placements at ₹610.05 per share in October 2025 and January 2026. Berar Finance is not listed on any stock exchange and has not filed a DRHP that we have found. Its shares trade off-market through unlisted-share dealers. The price of ₹485 shown on this page is indicative, with a lot size of 500 shares, and it implies a market cap of about ₹716.92 crore. It is not an exchange price and it can change quickly.

Strengths

  • Loan disbursements grew 25.39% in FY26 to ₹1,47,347.83 lakh, and gross income rose 21.35% to ₹35,794.86 lakh.
  • Net interest income grew 25.25% to ₹17,918.00 lakh, ahead of the 19.58% rise in finance costs.
  • Asset quality improved. Gross NPA fell to 3.72% from 4.43% and Net NPA fell to 2.32% from 2.89%.
  • The capital adequacy ratio was 25.09% on 31 March 2026, against the 15% the RBI prescribes.
  • The branch network of 165 branches across nine states serves around 3.61 lakh customers, and one more branch opened in Anand, Gujarat after the year end.
  • Profit after tax rose 12.16% to ₹3,622.52 lakh, and the board recommended a dividend of ₹1 per share for FY26.

Risks

  • Profit before tax grew only 3.44% to ₹4,371.20 lakh, much slower than income, because costs rose faster.
  • Employee costs rose 39.63% to ₹7,804.58 lakh as the company added branches, which pressures margins until new branches mature.
  • Impairment on financial instruments rose 32.63% to ₹4,142.89 lakh. Gross NPA is still 3.72% and provisioning coverage is 38.60%.
  • Return on average equity fell to 8.77% from 10.36%, and return on average assets fell to 2.28% from 2.58%.
  • The company funds its loans mostly with borrowings. Borrowings other than debt securities were ₹1,15,292.27 lakh and secured NCDs were ₹19,536.78 lakh, so funding cost and lender access matter.
  • Cash used in operating activities was ₹37,077.31 lakh in FY26 because loan growth absorbs cash. The business depends on continued funding and fresh capital.
  • Public deposits fell to ₹13,541.84 lakh from ₹19,558.32 lakh, so the funding mix is changing.
  • Two-wheeler finance is the mainstay product, so a slowdown in two-wheeler demand or rural incomes would hit the loan book.
  • Unlisted shares have no exchange liquidity. Prices are indicative and deals can take time to settle.
  • As an NBFC the company must follow RBI rules on provisioning, capital adequacy and dividends, and any change in them can affect its growth.
