About

About Bharat Nidhi (Bharat Bank)

Bharat Nidhi Limited is a New Delhi based company, incorporated in 1942, with its registered office at Asaf Ali Road. It is often searched by its brand name, Bharat Bank. Today it works as an investment holding company. Its annual report says it invests surplus funds in debt mutual funds, bank and financial institution fixed deposits and other safe avenues, and that its net profit comes mainly from interest, dividend and gains on sale or switch of investments. Until August 2023 the company also distributed newspapers and publications of Bennett, Coleman & Co. Ltd. (BCCL). That dealership agreement was terminated and the distribution business was discontinued from 1 September 2023. As a result, income from operations was nil in FY25, against ₹1,437.29 lakh in FY24. FY25 total income of ₹2,777.55 lakh was entirely other income. The real earnings driver is its set of associate companies. It holds 7,00,41,600 equity shares of BCCL, and its other associates include Matrix Merchandise Limited, Vasuki Properties Limited, Bennett Property Holdings Co. Limited, Mahavir Finance Limited and Times Zenith Private Limited. On a consolidated basis, its share of associates' profit was ₹43,455.30 lakh in FY25, which is 96.06% of the total profit. Consolidated profit after tax was ₹45,235.85 lakh in FY25 and ₹50,450.35 lakh in FY24. In FY23 it was a loss of ₹4,019.42 lakh because associates reported a net loss share. These figures are consolidated and in the annual report's own lakh units. The company has no borrowings shown on its consolidated balance sheet. Total consolidated assets were ₹457,746.67 lakh at 31 March 2025, mostly non-current investments of ₹448,505.33 lakh. It had 28,69,703 equity shares of ₹10 each issued as at 31 March 2025, after buy-backs offered as an exit to public shareholders under a SEBI settlement order. The board has four directors, and the company secretary is Amita Gola. The board recommended a dividend of ₹0.60 per share for FY25. Bharat Bank Limited shares are not listed on a stock exchange. Dealers trade them off-market, and the indicative price on IPO Guru is ₹13,800 per share for a lot of 10 shares as of 11 October 2026. This is only an indicative price, not an offer. The company has no IPO filing linked on our site.

Strengths

  • Consolidated profit after tax was ₹45,235.85 lakh in FY25 and ₹50,450.35 lakh in FY24, driven by its share of profit from associate companies.
  • Holds 7,00,41,600 equity shares of Bennett, Coleman & Co. Ltd., an associate, which contributed most of the profit through the equity method.
  • No borrowings appear on the consolidated balance sheet, and finance costs were only ₹1.27 lakh in FY25.
  • Total consolidated assets grew from ₹412,546.49 lakh at March 2024 to ₹457,746.67 lakh at March 2025, mainly non-current investments.
  • Standalone profit after tax rose from ₹1,336.77 lakh in FY24 to ₹1,780.55 lakh in FY25, helped by lower expenses after exiting distribution.
  • It has bought back shares to give public shareholders an exit and recommended a dividend of ₹0.60 per share for FY25.

Risks

  • About 96.06% of FY25 consolidated profit came from the share of associates' profit, so results depend on how those companies perform.
  • A large part of its value sits in a single group of associates, with BCCL the main holding.
  • The newspaper distribution business with BCCL ended on 1 September 2023, so income from operations fell from ₹1,437.29 lakh in FY24 to nil in FY25.
  • Consolidated profit swung to a loss of ₹4,019.42 lakh in FY23 from a share of associates' losses, so earnings can be volatile.
  • Operating cash flow was negative at ₹1,045.04 lakh in FY25 because there is no operating business, and cash comes from investments.
  • Auditors could not comment on internal financial controls of associates Matrix Merchandise Limited and Bennett Property Holdings Co. Limited, whose accounts were unaudited.
  • Total income of ₹2,777.55 lakh in FY25 depends on interest, dividends and investment gains, which move with markets and interest rates.
  • Shares are not listed, and the board has not shown any IPO plan. Trades happen off-market at indicative prices with limited liquidity.
