About

About India Exposition Mart

India Exposition Mart Limited was incorporated in New Delhi in 2001. It owns and runs the India Expo Centre and Mart in Greater Noida, Uttar Pradesh, on a leasehold basis. Companies hire the venue to hold trade fairs, exhibitions and conventions. Almost all of its exhibition work, its ExpoInn hotel and its maintenance services run from this single venue. The company earns from six verticals: Third-Party Events, Own IPs, Managed Events, Hotels & Hospitality, Export Supply Chain Management and Maintenance Services. Third-Party Events is the largest, at ₹1,640.27 million or 56.44% of revenue from operations in FY26. The hotels business runs under the Indeva Hotels and Resorts brand and added ₹393.87 million. The company hosted or managed 44 events in FY26. On a restated consolidated basis, revenue from operations grew from ₹1,947.34 million in FY24 to ₹2,411.54 million in FY25 and ₹2,906.29 million in FY26. Profit for the year was ₹233.14 million, ₹386.37 million and ₹311.55 million in the same years. Total assets were ₹3,687.33 million at 31 March 2026 and borrowings were only ₹5.96 million. The company is led by its Executive Chairman, Rakesh Kumar Sharma, who has been associated with it since incorporation. Vectra Investments Private Limited is the largest outside shareholder, holding 22.46% before the offer. Public shareholders hold 62.00% in total. On the IPO path, the company has filed its DRHP with SEBI. The proposed offer is up to 30,241,002 equity shares, made of a fresh issue of up to 7,500,000 shares and an offer for sale of up to 22,741,002 shares. Choice Capital Advisors Private Limited is the book running lead manager. Price and dates are not yet fixed. Unlisted shares of a company like this trade off-market between private buyers and sellers through dealers. Prices are indicative and not set by an exchange. IPO Guru shows an indicative price of ₹138 and a lot size of 500 shares.

Strengths

  • Revenue from operations rose from ₹1,947.34 million in FY24 to ₹2,411.54 million in FY25 and ₹2,906.29 million in FY26, growing in each year.
  • The company reported a profit for the year in each of FY24, FY25 and FY26, with FY26 profit at ₹311.55 million.
  • Borrowings were ₹5.96 million at 31 March 2026, down from ₹165.90 million (₹15.58 million non-current plus ₹150.32 million current) a year earlier, so debt is very low against total equity of ₹2,752.89 million.
  • Net cash from operating activities rose from ₹255.32 million in FY24 to ₹385.57 million in FY25 and ₹528.36 million in FY26, which is more than FY26 profit.
  • Repeat customers gave ₹1,625.19 million of revenue in FY26, which is 72.43% of revenue from events and exhibitions, showing recurring demand for the venue.
  • Revenue comes from six verticals, including Own IPs, hotels and export supply chain services, so it is not only venue licence fees.

Risks

  • Almost all exhibition, hotel and maintenance activity is at one venue in Greater Noida. A fire, power failure, lockdown or similar event there could stop many events at once.
  • Third-Party Events brought in 56.44% of revenue from operations in FY26, so losing large event organisers would hurt revenue.
  • The number of events fell from 61 in FY24 to 51 in FY25 and 44 in FY26. Revenue rose only because the average event became larger.
  • Profit for the year fell from ₹386.37 million in FY25 to ₹311.55 million in FY26 even as revenue grew, as other expenses rose to ₹1,813.03 million from ₹1,346.61 million.
  • Fairs and exhibition expenses along with housekeeping and technical charges were 41.39% of revenue from operations in FY26, and these costs depend on a limited number of service providers.
  • Capital work-in-progress jumped to ₹562.69 million at 31 March 2026 from ₹19.29 million a year earlier, so new projects must be completed and used well.
  • Trade receivables rose to ₹472.20 million at 31 March 2026 from ₹304.54 million, which takes cash that profit would otherwise provide.
  • The company, its directors and subsidiaries face pending tax, regulatory and statutory proceedings, and an adverse outcome could cost money and reputation.
  • The offer is mostly an offer for sale of up to 22,741,002 shares, so selling shareholders receive most of the money, not the company.
  • Unlisted share prices are indicative and set by dealers, there is no exchange price, and a DRHP-stage IPO may change or never open.
