About

About Indofil Industries

Indofil Industries Limited is a Mumbai-based chemicals company. It began in 1962 with the manufacture of Mancozeb, a fungicide, at Thane. Today it runs two business divisions and one business held through a subsidiary. The Agrochemicals Business Division sells fungicides, insecticides, herbicides, acaricides, surfactants and plant growth regulators. Indofil Innovative Solutions is the specialty chemicals division, serving plastics, coatings and construction, textile and leather customers. In FY26 (year ended 31 March 2026), the consolidated revenue from operations was ₹3,586.24 crore against ₹3,324.73 crore a year earlier. Consolidated profit for the year was ₹611.68 crore against ₹452.28 crore. The annual report says about 48% of consolidated revenue came from international business, and the company reaches 128 countries. Domestic agrochemicals revenue was ₹1,326 crore. The company had 1,037 employees at the year end. Manufacturing is in India. There are three synthesis plants and 12 formulation plants, with three units at Dahej in Gujarat. The research and development centre is at Thane. The company also holds subsidiaries in key markets and set up a wholly owned subsidiary in Australia during the year. The figures here are consolidated, as printed in the FY26 annual report. The company is unlisted. As on 31 March 2026, K.K. Modi Investment and Financial Services Private Limited held 45.39% of the shares, the U.P. State Industrial Development Authority held 9.59%, Rajputana Developers Limited 8.47% and APMS Investment Fund Limited 6.21%. Dr. Bina Modi is the Chairperson and Managing Director. IPO Guru has no linked IPO filing for Indofil at the moment. Unlisted shares of a company like this trade off-market between private buyers and sellers, so the indicative price of ₹1,750 per share on IPO Guru is not an exchange price and can differ from what a deal actually closes at.

Strengths

  • Consolidated revenue from operations grew to ₹3,586.24 crore in FY26 from ₹3,324.73 crore in FY25, and consolidated profit for the year rose to ₹611.68 crore from ₹452.28 crore.
  • Consolidated EBITDA was ₹943.95 crore in FY26 against ₹635.86 crore in FY25. The annual report credits lower raw material costs, with materials cost falling on a larger revenue base.
  • The business is spread across geographies. About 48% of consolidated revenue came from international sales, the company reaches 128 countries and holds 586 active international product registrations.
  • Borrowings are small. On a standalone basis total borrowings fell to ₹66.82 crore from ₹182.48 crore, and the company says it was in a net cash position at both year ends.
  • Consolidated net cash generated from operating activities was ₹512.53 crore in FY26 against ₹231.01 crore in FY25.
  • The company is integrated from research to sales. It has three synthesis plants, 12 formulation plants, a research centre at Thane and secured 57 new product registrations during the year.

Risks

  • Other income was large. Consolidated other income was ₹230.04 crore in FY26 against ₹94.49 crore, and the standalone report points to an exchange gain of ₹120.55 crore, so part of the profit rise did not come from selling products.
  • Trade receivables rose faster than revenue. Standalone trade receivables were ₹1,253.53 crore against ₹963.37 crore, which the company links to the growing international business and its longer credit terms.
  • Non-current investments of ₹3,759.88 crore are a large part of the balance sheet, and fair value changes on equity investments moved other comprehensive income by ₹(751.82) crore in FY26, so net worth can swing with those holdings.
  • Demand depends on weather and crop patterns. The annual report notes lower cotton and chilli acreage and pricing pressure in insecticides, and uncertainty over regulation of bio stimulants hit the nutrients portfolio.
  • The company has exposure to global trade policy. It mentions higher tariffs in some specialty chemicals export markets and changes in tariffs between the United States and China.
  • Disputed tax and indirect tax matters stood at ₹38.30 crore as contingent liabilities, including income tax assessments that followed a search by the tax authorities, which the company has challenged.
  • Promoter-linked entities hold a large share. K.K. Modi Investment and Financial Services Private Limited alone held 45.39%, so major decisions are tied to a small group.
  • The Chief Financial Officer and the Company Secretary both resigned after the year end, in June and July 2026, and a director was not re-appointed by shareholders in September 2025.
  • Unlisted shares are traded off-market with no exchange price discovery, so the indicative price and liquidity can differ widely from listed stocks.
