About

About Mohindra Fasteners

Mohindra Fasteners Limited was incorporated on 10 January 1995. It makes and sells high tensile fasteners. The registered office is in Delhi, and the manufacturing is done at three plants in Rohtak district, Haryana. The company sells in two markets. In FY26, exports were about 65.96% of sales revenue and domestic sales about 34.04%. Export sales were ₹10,890.18 lakh against ₹11,753.72 lakh a year earlier. Domestic sales rose to ₹5,620.11 lakh from ₹4,770.06 lakh. Domestic buyers are mainly in the automotive sector, including direct supplies to Hero MotoCorp and supplies to Tier 1 vendors linked to Maruti Suzuki, Hyundai and Tata Motors. The numbers below are standalone, as per Ind AS, from the FY26 annual report. Revenue from operations was ₹16,510.29 lakh, almost flat on ₹16,523.79 lakh in FY25. Profit after tax was ₹1,450.60 lakh against ₹1,486.95 lakh. Total equity stood at ₹13,135.86 lakh and total assets at ₹20,723.62 lakh on 31 March 2026. The board has recommended a final dividend of ₹4.50 per share. The company no longer has any subsidiary, associate or joint venture, after selling its stake in KK Mohindra Fastenings Private Limited on 30 September 2025. The promoters and their family hold the bulk of the company. Anurag Arneja holds 10.83%, Deepak Arnnejaa 10.66%, Ravinder Mohan Juneja 9.43%, Ranbir Singh Narang 8.00% and Sudhir Arneja 7.33%. The company has 58,92,461 equity shares of ₹10 face value. Deepak Arnnejaa is Chairman, Managing Director and CEO. On where it stands on an IPO: the annual report says the shares are listed on the Metropolitan Stock Exchange of India but are not publicly traded, and the company is planning a listing on the main boards of BSE. We have no confirmed dates or prices for that. Unlisted shares of a company like this are dealt off-market between buyers and sellers, so the indicative price (₹295 per share, lot of 500) is not an exchange price and can be hard to get filled.

Strengths

  • Export-led business: about 65.96% of FY26 sales revenue came from exports and about 34.04% from the domestic market, so the company is not tied to one market.
  • Profitable and largely self-funded: profit after tax was ₹1,450.60 lakh in FY26, and total equity of ₹13,135.86 lakh is well above the total borrowings on the balance sheet.
  • Growing domestic business: domestic sales rose to ₹5,620.11 lakh in FY26 from ₹4,770.06 lakh, helped by direct supply to Hero MotoCorp and Tier 1 vendors of Maruti Suzuki, Hyundai and Tata Motors.
  • Steady earnings: EBITDA was ₹2,748.95 lakh in FY26 against ₹2,795.60 lakh in FY25, and EPS was ₹24.62 against ₹25.23, despite flat revenue and a hard export year.
  • Cash and bank balances: the company held ₹302.58 lakh of cash and ₹1,505.84 lakh of other bank balances at 31 March 2026.
  • Dividend paying: a final dividend of ₹4.50 per share has been recommended for FY26, and the same amount was paid for the year before.
  • Three manufacturing plants in Rohtak, Haryana, and a BIS certification the company says helps it serve Indian industry.

Risks

  • Revenue did not grow in FY26: it was ₹16,510.29 lakh against ₹16,523.79 lakh in FY25, and profit after tax slipped to ₹1,450.60 lakh from ₹1,486.95 lakh.
  • Export dependence: exports are about 65.96% of sales, and export sales fell to ₹10,890.18 lakh from ₹11,753.72 lakh. The company says the US-Iran conflict from 28 February 2026 disrupted shipping and left ready shipments unsent at year end.
  • Cash flow was weak: net cash from operating activities was negative ₹87.95 lakh in FY26 against ₹935.75 lakh in FY25, even though profit before tax was ₹1,957.64 lakh.
  • Working capital is heavy: inventories rose to ₹4,074.82 lakh from ₹3,202.55 lakh, and trade receivables were ₹3,862.24 lakh at 31 March 2026.
  • Raw material risk: the company says steel prices have been rising since December 2025 and supplies have been erratic, with serious shortages.
  • Borrowings were ₹799.17 lakh non-current and ₹2,984.58 lakh current at 31 March 2026, so most of the debt is short term.
  • Small share base and low liquidity: the company has 58,92,461 equity shares and the annual report says its shares are not publicly traded, so unlisted prices are indicative and may be hard to deal at.
  • Key person and promoter dependence: the promoters hold the bulk of the company and Sudhir Arneja, Director (Operations) and a promoter, passed away in August 2026. The managing director Ravinder Mohan Juneja is re-appointed only up to 30 September 2026.
  • Carbon reporting rules such as CBAM in Europe could raise compliance costs for export customers and suppliers.
