About

About NCL Holdings

NCL Holdings (A&S) Limited is an unlisted public company based in Secunderabad, Telangana. It was incorporated on 5 January 2018 to take over non-building-material assets from NCL Buildtek Limited under a demerger order of the Hyderabad bench of the NCLT. Real estate and construction, and renewable energy (hydro and solar), were added later as main objects. The group's tagline names three lines of work: real estate and construction, renewable energy and chemicals. Most of the operating business sits in its subsidiary, Kakatiya Industries Private Limited, in which NCL Holdings holds 93.73%. Kakatiya runs a chemical division and a hydro power project of 2 x 4.5 MW. The parent itself earns from selling land and flats, from rent, and from investment gains. In FY25 it sold 15 flats in Hyderabad under a development agreement and sold 2 acres of land in another state. On a consolidated basis, revenue from operations for FY25 was ₹6,194.04 lakh against ₹5,163.44 lakh in FY24. Sale of chemicals brought in ₹2,973.78 lakh and sale of hydro power ₹1,721.11 lakh. Profit for the year after minority interest was ₹1,698.73 lakh against ₹557.97 lakh. Other income of ₹1,409.21 lakh, which includes profit on sale of current investments, helped this jump. FY24 figures were restated after Nagarjuna Cerachem Private Limited was merged into the subsidiary. Figures in this page are consolidated unless stated. The promoter group, led by members of the Kalidindi family, held 62.01% of the 57,84,938 equity shares at 31 March 2025. The Board has proposed a final dividend of ₹1.75 per share for FY25. It has also proposed a scheme to move the hydroelectric power division of the subsidiary into NCL Holdings from 1 April 2025. NCL Holdings has not filed a DRHP and there is no IPO on record for it yet. Unlisted shares of a company like this trade off-market between buyers and sellers, so the prices shown on IPO Guru are indicative and not an exchange price.

Strengths

  • Consolidated revenue from operations grew to ₹6,194.04 lakh in FY25 from ₹5,163.44 lakh in FY24.
  • Consolidated profit for the year after minority interest rose to ₹1,698.73 lakh in FY25 from ₹557.97 lakh in FY24.
  • Income comes from three different lines: chemicals (₹2,973.78 lakh), hydro power (₹1,721.11 lakh) and land and flat sales, so no single line carries the whole group.
  • The company has paid dividends. A final dividend of ₹1.50 per share was paid for FY24 and ₹1.75 per share is proposed for FY25.
  • The promoter group held 62.01% of the equity at 31 March 2025 with no change during the year.
  • Share capital is only ₹578.49 lakh, and the company holds current investments of ₹3,453.48 lakh and cash of ₹653.42 lakh at 31 March 2025.

Risks

  • A large part of FY25 profit came from other income of ₹1,409.21 lakh, including profit on sale of current investments, which may not repeat.
  • Standalone revenue from operations fell to ₹1,511.77 lakh in FY25 from ₹1,714.02 lakh, as land and flat sales are lumpy and depend on deals closing.
  • The group carries borrowings: long-term borrowings were ₹12,779.11 lakh and short-term borrowings ₹2,632.71 lakh at 31 March 2025, and finance costs were ₹1,416.04 lakh in FY25.
  • Hydro power output depends on water released by the irrigation department. The annual report says low discharge and a canal closure affected generation.
  • The company holds 17,69,620 shares of its subsidiary as a pledge for borrowings, which could matter if loans are not serviced.
  • Land and property sales depend on market rates and conditions. Management says it is waiting for better rates on its land in Andhra Pradesh, so the timing of sales is uncertain.
  • Hydro power division profit after tax fell to ₹264.39 lakh from ₹388.39 lakh because depreciation rose under CERC guidelines.
  • The proposed scheme to move the hydro division into NCL Holdings needs approvals and may change the structure and numbers of the group.
  • The shares are unlisted. Trading is off-market, prices are indicative and it may be hard to find a buyer.
