About

About Orbis Financials Corporation

Orbis Financial Corporation Limited was set up in 2005 and is headquartered in Gurugram, Haryana. It describes itself as one of India's leading independent non-bank custodians. A custodian safely holds securities for large investors and handles the settlement and reporting around them. The company offers custody, fund accounting, Professional Clearing Member services, depository services, trusteeship, fund administration and registrar and transfer agent services on one platform. Its clients include foreign portfolio investors, alternative investment funds, portfolio managers, mutual funds, foreign banks, NRIs and stockbrokers. It says it serves 6,000+ clients across more than 30 countries, with offices in Gurugram, Mumbai and GIFT City. On a consolidated basis, revenue from operations for FY26 was ₹487.92 crore against ₹556.16 crore in FY25. Profit after tax rose to ₹209.70 crore from ₹204.63 crore. Net worth stood at ₹1,100.67 crore. The company has 211 employees and 12,140 shareholders. The company has a credit rating of ICRA A+ (Stable). The board has recommended a dividend of ₹2.00 per equity share for FY26. Unlisted shares of a company like this are dealt off-market between private buyers and sellers, so the prices shown here are only indicative and not exchange prices.

Strengths

  • Profit after tax grew to ₹209.70 crore in FY26 from ₹204.63 crore in FY25 on a consolidated basis, even though revenue from operations fell from ₹556.16 crore to ₹487.92 crore.
  • Assets under custody reached ₹1,68,491.68 crore as on 31 March 2026, spread over 6,000+ clients in more than 30 countries.
  • The balance sheet carries no bank loans. Net worth rose to ₹1,100.67 crore from ₹899.60 crore a year earlier.
  • Cash generated from operating activities was ₹181.85 crore in FY26 on a consolidated basis, close to the profit after tax of ₹209.70 crore.
  • Several services sit on one platform: custody, clearing, depository, trusteeship and fund administration. The two wholly owned subsidiaries extend this to trusteeship and GIFT City.
  • ICRA upgraded the long-term rating to A+ (Stable). The company also holds ISO 9001:2015, ISO 27001:2022 and ISO 22301:2019 certifications.

Risks

  • Consolidated revenue from operations fell from ₹556.16 crore in FY25 to ₹487.92 crore in FY26, a decline for the year.
  • A large part of revenue is treasury income. On a standalone basis, ₹289.22 crore of the ₹482.72 crore revenue came from treasury operations and interest on deposits, against ₹193.50 crore from services. This income moves with interest rates and client balances.
  • The balance sheet is large against the equity base. Total assets of ₹5,127.45 crore compare with net worth of ₹1,100.67 crore, because client-related balances are held on the books.
  • Bank guarantees outstanding rose to ₹1,670 crore on 31 March 2026 from ₹946 crore a year earlier, which adds to contingent exposure.
  • Operating cash flow was negative at ₹108.93 crore in FY25 on a consolidated basis, so cash generation has not been steady across years.
  • The business is regulated by SEBI and operates under custodian, depository and clearing rules, so a change in regulation or a compliance lapse can affect operations.
  • Three shareholders hold about 47% of the equity between them, which gives a few people large influence over decisions.
  • The shares are unlisted, so there is no exchange price and trades happen off-market with limited liquidity.
  • The board saw changes in the year, with two independent directors leaving and one joining after year end.
