About

About RKB Global

RKB Global Limited is an iron and steel company based in Maharashtra. It manufactures mild steel wires, bright bars, welding electrodes and pre-engineered building components at two plants, one at Wada in Palghar district and one at Taloja in Navi Mumbai. Alongside this, it trades in coils, pipes and structural steel, and does iron ore extraction, processing and export. Its customers are mainly in construction, automobile and engineering, in India and abroad. On the restated consolidated numbers in its draft offer document, revenue from operations was ₹4,111.18 million in FY25, against ₹4,328.33 million in FY24 and ₹3,600.01 million in FY23. Profit after tax rose from ₹53.71 million in FY23 to ₹79.16 million in FY24 and ₹110.87 million in FY25. For the six months to 30 September 2025, revenue was ₹2,900.89 million and profit after tax ₹101.55 million. Manufacturing is becoming the bigger part of the business. It made up 17.40% of revenue from operations in FY23 and 49.82% in FY25. The company runs 29 storage facilities in Maharashtra and a few more in Kerala, Madhya Pradesh and Telangana. Maharashtra gave 66.51% of FY25 revenue. The company is promoted by Alok Virat Shah, who is Managing Director, and Virat Sevantilal Shah, the Chairman. Promoters hold 12,486,701 and 10,448,263 equity shares respectively. The company has 43,772,327 equity shares of face value ₹10 each, as per its draft offer document. RKB Global filed its draft red herring prospectus with SEBI on 2 April 2026 and the SEBI review is complete. The proposed offer has a fresh issue of up to 12,600,000 equity shares and an offer for sale of up to 2,020,000 equity shares. The price and dates are not yet announced. Unlisted shares of a company like this are dealt off-market between buyers and sellers, so the price shown here is only indicative.

Strengths

  • Profit after tax grew from ₹53.71 million in FY23 to ₹110.87 million in FY25, and EBITDA margin moved from 4.50% to 7.79% over the same period.
  • Manufacturing contributed 49.82% of revenue from operations in FY25, up from 17.40% in FY23, which shows a shift from pure trading towards making its own products.
  • Net worth rose from ₹457.81 million in FY23 to ₹2,023.99 million in FY25, helped by fresh capital, and the debt to equity ratio fell from 1.89 times to 0.31 times.
  • The business has several revenue streams: manufacturing, steel trading and iron ore mining, serving construction, automobile and engineering customers.
  • Two manufacturing plants at Wada and Taloja are supported by 29 storage facilities in Maharashtra and a few more in Kerala, Madhya Pradesh and Telangana.
  • Return on capital employed was 10.21% in FY25, and the company says it sells under its own 'Virat' brand.

Risks

  • Customer concentration is rising. The top 10 customers gave 47.85% of revenue from operations in FY25, up from 24.87% in FY23, and 74.57% in the six months to September 2025.
  • Operating cash flow was negative at ₹320.08 million in FY25 and ₹272.42 million in FY24, even though the company reported profits in both years.
  • Margins are thin. PAT margin was 2.68% in FY25, and a small fall in steel prices could hurt profits, as steel demand and prices are cyclical.
  • Raw materials made up 92.72% of total expenses in FY25, and the company buys them from third-party suppliers on purchase order basis.
  • Maharashtra gave 66.51% of revenue from operations in FY25 and 77.88% in the six months to September 2025, so the business depends heavily on one state.
  • Return on equity was 5.48% in FY25 as the share capital base grew faster than profit, against 11.73% in FY23.
  • Most of the capital expenditure in the last three fiscals went to buying properties from the promoter and promoter group.
  • The statutory auditors have included certain emphasis of matters in earlier audit reports, and there are legal proceedings against the company and its group companies.
  • Total borrowings were ₹637.02 million at the end of FY25, and the debt to EBITDA ratio was 3.20 times for the six months to September 2025.
  • Contingent liabilities could affect the company's finances, and the offer is not yet priced, so unlisted share prices are only indicative.
