About

About Shreni Shares

Shreni Shares Limited is a SEBI registered stock broking firm based in Mumbai. It was incorporated on September 17, 2009 as Shreni Shares Private Limited and later became a public company. The business is share broking and market making. The company serves clients through 8 branches across 7 cities, 6 Authorised Persons (agents appointed with exchange approval) and online and digital platforms. It also gives Margin Trading Facilities, where clients trade by putting up only part of the amount. The DRHP says it is among the top 10 market makers in the SME exchange ecosystem and handled 37 mandates over FY2023 to FY2025, citing the D&B industry report. The money mostly comes from the company's own treasury book, not from clients. For the nine months ended December 31, 2025, treasury operations were 76.77% of revenue from operations. Market making fees were 8.46%, brokerage and commission fees 6.33% and margin trading interest 6.87%. Revenue from operations was ₹285.29 million in FY25 against ₹316.62 million in FY24, and restated profit was ₹168.26 million against ₹196.00 million. These are restated standalone figures from the DRHP. The promoters are Bhavesh Himmatlal Shah, Hitesh Natvarlal Punjani and Nidhi Bhavesh Shah. Together they hold 28,363,400 equity shares, which is 53.48% of the paid-up capital. Bhavesh Himmatlal Shah is the CEO and Managing Director. The company has filed its DRHP with SEBI for an IPO of up to 15,100,000 equity shares, made up of a fresh issue and an offer for sale. The price is not yet fixed. Shreni Shares unlisted shares trade off-market through dealers, and the prices are indicative only. IPO Guru shows an indicative price of ₹138 for a lot of 1000 shares, which implies a market cap of about ₹731.84 crore. This is not a recommendation.

Strengths

  • Profit has grown fast from a small base. Restated profit rose from ₹55.55 million in FY23 to ₹196.00 million in FY24 and ₹168.26 million in FY25.
  • Margins are high because the company is asset-light. EBITDA margin was 86.47% and PAT margin 58.98% in FY25.
  • Net worth grew from ₹205.08 million in FY23 to ₹1,415.93 million in FY25, helped by profits and fresh share issues of ₹400.00 million in FY24 and ₹366.72 million in FY25.
  • Debt is small against equity. Total borrowings were ₹97.16 million in FY25 and the net debt to equity ratio was 0.07 times.
  • The company has a presence in market making for SME listings, handling 37 mandates over FY2023 to FY2025 per the D&B industry report cited in the DRHP.
  • The business reaches clients through 8 branches in 7 cities, 6 Authorised Persons and online platforms, and its margin trading book reached ₹447.22 million by December 31, 2025.

Risks

  • Revenue depends heavily on the company's own treasury trading. Treasury was 76.77% of revenue from operations in the nine months to December 31, 2025, so a market fall can hurt results quickly.
  • Earnings are volatile. Revenue from operations fell from ₹316.62 million in FY24 to ₹285.29 million in FY25 and restated profit fell from ₹196.00 million to ₹168.26 million.
  • Operating cash flow has been negative. Net cash used in operating activities was ₹91.57 million in FY25 and ₹229.31 million in FY24, even though profits were positive.
  • The margin trading and loan book is growing. Loans given were ₹447.47 million at December 31, 2025 against ₹252.45 million in FY25, so a client default or a market crash can cause losses.
  • Return ratios have moved a lot. ROE fell from 23.27% in FY24 to 11.88% in FY25 as new equity came in.
  • The company has faced regulatory action. SEBI imposed penalties totalling ₹0.26 million by an adjudication order in 2021 and the MCA imposed another ₹0.26 million penalty, and the NSE has issued warnings.
  • Broking is heavily regulated and sensitive to exchange rules, brokerage fee limits and net worth requirements.
  • Branch offices are on rented or leave and license premises, including one owned by an employee, so losing a lease could disrupt service.
  • Promoters will hold a large stake after the IPO and can influence shareholder decisions. Some borrowings are backed by promoter guarantees.
  • Unlisted share prices are indicative, there is no formal market before listing, and the IPO price is not yet decided.
