About

About Signify Innovations India

Signify Innovations India Limited is the Indian arm of Signify, the global lighting company. It sells lighting products, systems and services to two sets of customers. Professional customers buy for offices, factories, roads and airports. Consumers buy LED bulbs, connected lighting and BLDC fans for homes. The company was incorporated on 22 April 2015 and its registered office is in Kolkata, West Bengal. Its former name was Philips Lighting India Limited. In FY26 the company reported revenue from operations of ₹32,888 million, up 5.6% from ₹31,136 million in FY25. Profit after tax rose to ₹3,720 million on a standalone basis from ₹2,701 million. On a consolidated basis, which includes its 50% joint venture Lightanium Technologies Private Limited, profit after tax was ₹3,751 million and earnings per share were ₹65.21. The consumer business grew in double digits during the year, while the professional business grew in single digits. The company is almost entirely owned by its parent. Signify Holding B.V. holds 55,290,242 of the 57,517,242 equity shares, which is 96.13%. The ultimate holding company is Signify N.V., which is listed on Euronext Amsterdam. The company paid dividends of ₹3,020 million to shareholders in FY26 and had no major fund-based borrowings, funding working capital from its own cash. A large part of what it sells is bought from group companies. In FY26 it bought raw material and stock-in-trade worth ₹4,514 million from related parties, and paid ₹1,237 million as technical royalty to Signify Netherlands B.V. In June 2025 it formed Lightanium Technologies as a 50% joint venture and invested ₹1,456 million in it, to build lighting manufacturing in India. It does not have an IPO on record with us yet. Unlisted shares of a company like this are dealt off-market between private buyers and sellers, so the price on this page is only an indicative price, currently ₹975 per share with a lot size of 50 shares. At that price the implied market value is about ₹5,607.93 crore, based on the share count in the annual report. This is information, not a recommendation.

Strengths

  • Revenue from operations grew 5.6% to ₹32,888 million in FY26 from ₹31,136 million in FY25, and the management report says the consumer business grew in double digits.
  • Standalone profit after tax rose to ₹3,720 million in FY26 from ₹2,701 million, and profit before tax and exceptional items was 13.7% of revenue against 11.9% a year earlier.
  • Operating cash flow was ₹4,942 million in FY26 against profit before tax of ₹4,843 million, so profits were backed by cash.
  • The company holds cash and cash equivalents of ₹4,756 million as at 31 March 2026 and reports no major fund-based borrowings; its only debt-like items are lease liabilities.
  • It pays out most of its earnings: dividends paid to shareholders were ₹3,020 million in FY26, and an interim dividend of ₹52.50 per share was declared for the year.
  • It is 96.13% owned by Signify Holding B.V., part of the Signify group, which gives it access to group technology and brands.

Risks

  • Revenue growth was modest at 5.6% in FY26 and 1.5% in FY25, so the business is not growing fast.
  • Related-party dependence is high: purchases of raw material and stock-in-trade from related parties were ₹4,514 million in FY26 against ₹1,647 million in FY25.
  • It pays a technical royalty of ₹1,237 million a year (FY26) to a group company, which takes a share of its earnings.
  • Contingent liabilities not provided for include ₹117 million of income tax cases, ₹515 million of excise and sales tax matters inherited from Philips India Limited and ₹487 million of indirect tax matters contested by the company itself.
  • A transfer pricing adjustment order for assessment year 2023-24 has been received and the final assessment order is pending.
  • FY26 profit before tax includes an exceptional gain of ₹278 million, so reported profit is higher than profit from regular operations of ₹4,565 million before tax.
  • Trade payables of ₹7,501 million to creditors other than small enterprises are large against total equity of ₹5,039 million, so the business relies on supplier credit.
  • Promoter holding is 96.13%, which leaves very little public float and means a listing would depend on the parent's plans.
  • There is no IPO filing on record, and unlisted share prices are indicative, thinly traded and may not be easy to sell.
