About

About Utkarsh Coreinvest

Utkarsh CoreInvest Limited (UCL) is a non-banking finance company registered with the RBI and headquartered in Varanasi, Uttar Pradesh. It began micro-banking in Uttar Pradesh in September 2009 and later became the promoter of Utkarsh Small Finance Bank Limited, which serves unbanked and underserved customers. UCL is now essentially a holding company. Its main asset is its stake in the listed Utkarsh Small Finance Bank. The annual report says that after the bank's rights issue, UCL's holding fell from 68.92% to 42.67% as at November 04, 2025, because UCL did not take part in it. On a consolidated basis, which includes the bank, revenue from operations for FY26 was ₹36,748.97 million against ₹38,894.06 million a year earlier. The group reported a loss for the year of ₹8,383.52 million, compared with a loss of ₹4,222.95 million in FY25. Total assets stood at ₹290,109.71 million. All figures in this page are consolidated, in rupees million as printed by the company. The company is in the middle of a reverse merger. Under a scheme of amalgamation, UCL is to merge into Utkarsh Small Finance Bank and be dissolved without winding up. This is meant to meet RBI promoter dilution rules, so UCL's shareholders would hold bank shares directly. RBI and the stock exchanges have given no-objection, shareholders voted in favour on March 28, 2026, and the scheme was pending final approval of the NCLT in the annual report. UCL has no identified promoter as at March 31, 2026. The Board had four directors at that date, including two independent directors, one nominee director and the Managing Director and CEO, Suman Saurabh. UCL shares are not listed. They trade off-market through unlisted-share dealers at indicative prices, which can differ from deal to deal. The latest indicative price on IPO Guru is ₹125 per share with a lot size of 100 shares. Strengths

  • UCL's main asset is its stake in Utkarsh Small Finance Bank, a listed lender. Consolidated revenue from operations was ₹36,748.97 million in FY26.
  • The consolidated balance sheet is large, with total assets of ₹290,109.71 million at March 31, 2026, and loans of ₹180,194.69 million.
  • The group has a big deposit base of ₹226,113.62 million, which funds most of its lending.
  • The planned reverse merger has RBI and stock exchange no-objection and a positive shareholder vote, which would give UCL shareholders direct bank shares.
  • The group keeps liquidity on hand, with cash and cash equivalents of ₹17,770.23 million and investments of ₹70,033.51 million at March 31, 2026.
  • UCL's standalone balance sheet has no loans or debt securities taken during FY26, as stated in the annual report.

Risks

  • The group made a consolidated loss of ₹8,383.52 million in FY26, after a loss of ₹4,222.95 million in FY25.
  • Impairment on financial instruments was ₹13,106.45 million in FY26, which shows pressure on loan quality in the microfinance book.
  • Revenue from operations fell to ₹36,748.97 million in FY26 from ₹38,894.06 million in FY25.
  • Operating cash flow was negative at ₹6,921.81 million in FY26, against a positive ₹30,259.94 million in FY25.
  • Consolidated net worth attributable to equity holders of the parent dropped to ₹11,538.30 million from ₹17,279.14 million a year earlier.
  • The merger still needs final NCLT approval. If it is delayed or changed, the timeline and the share swap outcome for UCL holders could change.
  • UCL's stake in the bank was diluted from 68.92% to 42.67% after it skipped the bank's rights issue, so its share of the bank's results has shrunk.
  • Unlisted shares have no stock exchange price discovery. Indicative prices can move on dealer demand, and selling at the quoted price is not assured.
