Carlsberg India IPO Updated Draft Papers: 8.64 Crore Shares, Entirely an OFS

Carlsberg India has filed its updated draft papers for the IPO. The issue is entirely an offer for sale (OFS) of up to 8.64 crore shares by promoter South Asian Breweries. The Carlsberg India IPO has no fresh issue, so the company gets none of the money.

What the updated filing says

The updated draft red herring prospectus (DRHP) is dated 27 October 2026. It is the first public look at the issue. Until now the papers had been kept confidential.

The company filed confidentially with SEBI on 1 July. SEBI gave its observations, which is the approval, on 1 October. We covered that in our report on the SEBI nod.

The price band is not out yet. So the final size cannot be worked out from the share count. Earlier reports spoke of up to $700 million, but that is a reported figure, not a confirmed one.

Who is selling, and why does it matter?

South Asian Breweries is the promoter shareholder. It sells part of its own holding to the public. The company does not use the sale money for new plants or to repay debt.

An OFS only moves shares from one owner to new investors. It also means the promoter's stake falls after the sale.

How is the business doing?

In FY26, revenue fell 2.2% to ₹8,708.8 crore. Profit rose 22% to ₹534.51 crore.

The June 2026 quarter looked different. Net revenue grew 21.5% to about ₹1,366 crore, as per a Business Outreach report on the filing. Profit fell 3.9% to about ₹158 crore.

So the numbers do not point one way. Profit grew over the year, but the latest quarter was softer.

What our data shows

We have tracked 67 IPO filings and plans this year. At a reported size of about ₹5,950 crore, Carlsberg India is the 23rd largest. Another 72 companies have filed draft papers so far this month.

What happens next

The updated draft is now open for public comments. A price band and dates come only when the company files its final offer document. An earlier report said a launch could come in December, as we noted in our post on the public filing. That is a report, not a confirmed date.

You can follow every company waiting to launch on our upcoming mainboard IPO page. The filing details are also covered by CNBC-TV18.
