Encube Ethicals IPO Gets SEBI Nod: ₹3,000 Crore Issue, Entirely an OFS

The Encube Ethicals IPO has cleared SEBI. The regulator issued its observations on 4 November 2026, and the company can now plan a ₹3,000 crore issue. It is entirely an offer for sale (OFS), so the company itself gets no money.

SEBI published the update in its weekly status report of draft offer documents on 6 November. The company had filed its draft papers on 1 August 2026. As per a Moneycontrol report, the approval came about three months after the filing.

Who is selling in the Encube Ethicals IPO?

There is no fresh issue. Two sellers share the ₹3,000 crore.

SellerShares worth up to
Promoter Mehul Madhusudan Shah₹2,000 crore
Frontier Investment Holdings (managed by Quadria Capital)₹1,000 crore

Frontier Investment Holdings owns 15.02% of the company. Selling shares worth ₹1,000 crore is a part exit for this investor. Because the whole issue is an OFS, all the money goes to the two sellers.

What does Encube Ethicals do?

Encube is a Mumbai-based pharmaceutical company. It has three business lines: global generics, global contract development and manufacturing (CDMO), and branded medicines for India.

It runs two plants, in Goa and Indore. Its installed capacity was 15,624 metric tonnes as of March 2026.

How big are its profits?

The company's numbers have grown fast, as per the same report. Net profit rose 75% to ₹436.7 crore. Revenue rose 34.7% to ₹1,848.7 crore. The report compares both with the previous year.

Those are the figures reported for the latest year in the filing. The price band and valuation are not known yet.

What our data shows

Encube is one of 9 companies that have filed draft papers this month, as per our tracker. SEBI also cleared IFL Finance, Arjun Jewellers, Sagar Defence Engineering and Mahanadi Coalfields on 4 November.

What happens next

SEBI's approval is valid for 12 months. In that time, Encube has to file its red herring prospectus (RHP) with the Registrar of Companies and then open the issue. The RHP is the final offer document. It carries the price band, dates and lot size.

The lead managers are JM Financial, Axis Capital and Kotak Mahindra Capital. We covered the earlier report on a November launch on 4 November. No date has been announced by the company. Track every approved name on our upcoming mainboard IPO page.
