- 01Of the total offer of Rs 4,800.00 crore, Rs 3,000.00 crore is an offer for sale by the promoter BCP Asia II Topco VIII Pte. Ltd., and the company receives nothing from that part.
- 02On a proforma basis the company reported a loss of Rs 141.04 crore in FY2026, Rs 27.60 crore in FY2025 and Rs 34.55 crore in FY2024, so the combined group has not made a profit in any of the three years shown.

- 07The top 10 customers gave 59.67% of proforma revenue from operations in FY2026, and on the consolidated restated basis the top 5 customers gave 51.82%.
- 08100% of the equity share capital of the promoter BCP Topco is subject to a security interest created for an external financing facility, and invocation of that security could change control of the company.
- 09There are 26 tax proceedings and 4 statutory or regulatory actions outstanding against the company involving Rs 137.00 crore, and the subsidiaries face 11 tax matters of Rs 54.17 crore plus one material civil litigation claiming USD 140 billion.
- 10The amount for general corporate purposes is not stated in the document and is only capped at 25% of the gross proceeds, so part of the fresh money is unspecified.

About AGS Health
Revenue cycle management is the administrative work that turns a hospital visit into money collected from an insurer or a patient. AGS Health says its platform covers about 80% of the total RCM value chain, built around three pillars. Front-end revenue optimisation covers patient access services, eligibility and insurance verification, financial clearance and patient financial engagement. Mid-cycle revenue optimisation covers care management, coding and documentation, and revenue integrity. Back-end revenue optimisation covers claims processing and posting, denials management and underpayment, follow-up and collection, and patient billing and collection.
The company operates in one reportable business segment. It serves customers across all United States geographic regions, with no single state or region making up a majority of revenue. As at 31 March 2026 it had 149 customers on a consolidated restated basis, of which 82 were hospitals or health systems and 30 brought in annualised revenue above USD 1 million. The average tenure of the top 10 customer relationships was 8.81 years.
Delivery is from a global network of 10 sites. The global workforce was 15,895 as at 31 March 2026, up from 14,199 a year earlier and 12,413 in FY2024. Women were 46.87% of the workforce in FY2026. Voluntary attrition was 23.27% in FY2026 against 33.60% in FY2024. Revenue from customers taking both SaaS solutions and tech-enabled services was 14.50% of revenue from operations in FY2026.
The FY2026 restated numbers are consolidated while FY2025 and FY2024 are standalone, because the Acquisition that brought the AGS business under the Indian company was completed before 31 March 2026. Revenue from operations was Rs 2,041.42 crore in FY2026 against Rs 1,194.89 crore in FY2025 and Rs 988.97 crore in FY2024. On a proforma basis, which restates the group as if it had always been combined, revenue from operations was Rs 2,164.36 crore in FY2026, Rs 1,779.94 crore in FY2025 and Rs 1,378.21 crore in FY2024, and the proforma result was a loss in each of the three years.
The industry
The Zinnov report in the document sizes the market AGS Health sells into. Total United States healthcare expenditure in 2025 is estimated at USD 5.6 trillion, of which RCM spend accounts for about USD 234.5 billion. The United States RCM market expanded from USD 158.4 billion in CY 2020 to USD 234.5 billion in CY 2025, a CAGR of 8.2%. The report projects the market will reach USD 329.8 billion by CY 2030, a CAGR of 7.1% between CY 2025 and CY 2030. Growth over the last five years was supported by post-pandemic volume normalisation, rising claim complexity, higher denial rates and faster adoption of outsourced and technology-enabled RCM solutions.
Customer concentration: On a proforma basis the top 5 customers gave 40.46% of revenue from operations in FY2026, 40.67% in FY2025 and 41.49% in FY2024, and the top 10 customers gave 59.67% in FY2026. On the consolidated restated basis the top 5 customers gave 51.82% of FY2026 revenue from operations.
