About

About Yogiji Digi

Yogiji Digi Limited (formerly Yogiji Digi Private Limited) designs, makes and installs machinery that steel companies use to process flat steel. Its range covers cold rolling mills, annealing and pickling lines, acid regeneration plants, metal coating lines (GI, GL and ZM), colour coating lines, skin pass mills and slitting or trimming lines. It also sells spares and components, revamp and retrofit work, and electrical and automation solutions. Customers are independent flat steel makers and integrated steel producers. The registered office is in Faridabad, Haryana, and the company runs three manufacturing units at Palwal, Haryana. In the restated financials in its DRHP, revenue from operations was ₹6,261.12 million in FY26, against ₹4,796.83 million in FY25 and ₹3,965.30 million in FY24. Profit after tax was ₹404.24 million in FY26, and EBITDA was ₹677.14 million. The order book stood at ₹11,411.70 million at 31 March 2026. The company says it has executed projects across 10 countries in South Asia, Africa, the Middle East and North America. There are no separate reportable segments. The promoters are Navneet Singh (Managing Director), Sameer Bansal and Satish Kumar Tripathi. Navneet Singh holds 19.89% of the pre-offer share capital, Sameer Bansal 17.21% and Satish Kumar Tripathi 6.72%. Among other large holders, S Gupta Family Enterprises Private Limited holds 17.64% and Coinmen Special Opportunities Fund 4.00%. On the IPO, Yogiji Digi filed its DRHP with SEBI on 29 July 2026. The offer is a fresh issue plus an offer for sale of up to 7,171,290 equity shares by promoters and other shareholders. The fresh issue proceeds are meant for working capital, repayment of some borrowings and general corporate purposes. Emkay Global Financial Services and Systematix Corporate Services are the lead managers. The price band and dates are not out yet. Unlisted shares of a company like this are dealt off-market, between private buyers and sellers through dealers, so prices are indicative and there is no exchange to confirm them. IPO Guru shows an indicative price of ₹298 per share with a lot size of 1000 shares, which implies a market cap of about ₹1,690 crore. This is not a recommendation.

Strengths

  • Revenue from operations rose from ₹3,965.30 million in FY24 to ₹4,796.83 million in FY25 and ₹6,261.12 million in FY26, with year-on-year growth of 30.53% in FY26.
  • Profit after tax grew from ₹199.32 million in FY24 to ₹280.40 million in FY25 and ₹404.24 million in FY26. PAT margin improved from 5.03% to 6.46% over the same period.
  • EBITDA margin rose from 7.69% in FY24 to 10.81% in FY26, and EBITDA reached ₹677.14 million.
  • The order book was ₹11,411.70 million at 31 March 2026, compared with ₹3,932.22 million a year earlier, which gives the company a large pipeline of work to execute.
  • Net worth rose to ₹2,100.10 million at the end of FY26 from ₹796.11 million at the end of FY24, and return on equity was 21.31% in FY26.
  • Operating cash flow turned positive at ₹342.83 million in FY26 after a negative ₹473.22 million in FY25.
  • The company has delivered projects in 10 countries, and its product range covers the main flat steel processing lines under one roof, including spares and automation.
  • The auditors' report on the restated financials carries no qualifications, reservations or adverse remarks.

Risks

  • Customer concentration is high. The top ten customers gave 82.10% of FY26 revenue, and the company has no long-term contracts with its major customers.
  • The largest customer, APL Apollo Building Products Limited, alone gave 17.12% of FY26 revenue. The top customers change from year to year, so revenue depends on winning new orders.
  • Total borrowings rose from ₹587.03 million in FY24 to ₹1,900.90 million in FY26, and net debt to EBITDA went up from 1.71 times to 2.46 times.
  • Working capital is stretched. Trade receivable days rose from 36 in FY24 to 77 in FY26, and the cash conversion cycle was 81 days in FY26.
  • Cash used in investing activities was ₹1,202.58 million in FY26, more than three times the operating cash flow, so growth is being funded through borrowings and fresh capital.
  • All three manufacturing units are at Palwal, Haryana. Any disruption there would hit the whole business.
  • Domestic revenue is concentrated in northern and eastern India, which gave 76.27% of domestic revenue in FY26.
  • Raw material and bought-out cost was about 69.46% of FY26 revenue, so price swings or supply problems can squeeze margins.
  • The order book can be adjusted, suspended or cancelled by customers, so it does not guarantee future revenue.
  • An erstwhile subsidiary was merged into the company from 31 March 2025. Some of its assets, licences and contracts are yet to be transferred, and there are seven outstanding tax proceedings against the company.
