What Are Unlisted Shares?
Unlisted shares, also called pre-IPO shares, are equity shares of private companies that have not yet been listed on a recognised stock exchange like the National Stock Exchange (NSE) or Bombay Stock Exchange (BSE). These shares are traded informally in the over-the-counter (OTC) market, directly between buyers and sellers — often facilitated by brokers or platforms that specialise in pre-IPO deals.
Investors buy unlisted shares to get early access to high-growth companies before they go public. If the company launches a successful IPO, investors can benefit from significant listing gains. However, unlike listed stocks, unlisted shares have limited liquidity, lack continuous price discovery, and carry higher counterparty risk.
How Are Unlisted Share Prices Determined?
Unlike exchange-listed stocks, unlisted share prices are not regulated by SEBI or any exchange. The Last Traded Price (LTP) shown in the table above is an indicative price derived from OTC market transactions. Key factors that influence unlisted share prices include:
- Company financials — revenue growth, profitability, and debt levels
- IPO plans — a confirmed DRHP filing or SEBI approval often drives prices up
- Valuation benchmarks — comparisons with listed peers in the same sector
- Demand and supply — number of buyers vs. sellers in the OTC market
- Promoter background — reputation and track record of founders
IPO Guru updates prices regularly based on aggregated OTC market data. Always treat these as indicative prices, not guaranteed buy/sell rates.
How to Buy Unlisted Shares in India
To buy unlisted shares in India, you need a demat account with a SEBI-registered depository participant (DP). The typical process is:
- Identify a company and agree on a price with the seller or a pre-IPO broker.
- Transfer funds via NEFT/RTGS/UPI to the seller's account.
- The seller initiates an off-market transfer of shares to your demat account through CDSL or NSDL.
- Shares appear in your demat account within 1–3 working days.
There is no standardised platform for unlisted shares in India. Due diligence on the seller and company is entirely the buyer's responsibility. Verify the share certificates and company details before transferring funds.
Risks of Investing in Unlisted Shares
Unlisted shares are high-risk investments suitable only for investors who understand the risks involved. Key risks include:
- Liquidity risk — You may not find a buyer when you want to sell.
- Valuation risk — There is no official price; you may overpay.
- IPO delay/cancellation — A company may postpone or cancel its IPO plans.
- Fraud risk — Fake sellers or forged share certificates exist in this market.
- Lock-in after IPO — Pre-IPO investors are typically subject to a 6-month lock-in post listing.
- Business risk — The company may not perform as expected or may fail.
Tax on Unlisted Shares in India (2025)
Capital gains from unlisted shares are taxed differently from listed stocks:
- Short-Term Capital Gains (STCG) — Held for less than 24 months. Taxed at your applicable income tax slab rate.
- Long-Term Capital Gains (LTCG) — Held for 24 months or more. Taxed at 20% with indexation benefit.
Note: There is no STT (Securities Transaction Tax) on unlisted share trades, so you cannot claim the lower LTCG rate of 10% that applies to listed shares. Consult a chartered accountant for your specific tax situation.
